CORGITECH LLC. - Terms and Conditions of Sale

PLEASE READ THESE TERMS AND CONDITIONS OF SALE VERY CAREFULLY.

THE TERMS AND CONDITIONS OF SALE ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS IN ANY FORMS DELIVERED BY CUSTOMER ARE HEREBY DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM AND REJECTION OF THEM IS HEREBY GIVEN.

BY ACCEPTING DELIVERY OF THE PRODUCTS AND SERVICES DESCRIBED IN CORGITECH LLC’s INVOICE OR OTHER CORGITECH LLC DOCUMENTATION, CUSTOMER AGREES TO BE BOUND BY AND ACCEPTS THESE TERMS AND CONDITIONS OF SALE UNLESS CUSTOMER AND CORGITECH LLC HAVE SIGNED A SEPARATE AGREEMENT, IN WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.

Important Information About These Terms and Conditions of Sale

These terms and conditions of sale constitute a binding contract between Customer and CORGITECH LLC. Customer accepts these terms and conditions of sale by making a purchase, placing an order or otherwise shopping CORGITECH LLC. These terms and conditions of sale are subject to change without prior notice. These terms and conditions of sale constitute the entire agreement between Customer and CORGITECH LLC relating to the terms and conditions of sale of products and services on the site. All sales are retail and not for resale. Customer consents to receiving electronic records, which may be provided via CORGITECH.

Governing Law

THESE TERMS AND CONDITIONS OF SALE AND ANY SALE HEREUNDER WILL BE GOVERNED BY POLICIES MANDATED BY CORGITECH LLC AND BY THE LAWS OF THE STATE OF MASSACHUSETTS, WITHOUT REGARD TO CONFLICTS OF LAWS RULES. ANY ARBITRATION, ENFORCEMENT OF AN ARBITRATION OR LITIGATION WILL BE BROUGHT IN MIDDLESEX COUNTY, MASSACHUSETTS AND CUSTOMER CONSENTS TO THE JURISDICTION OF THE FEDERAL AND STATE COURTS LOCATED IN MIDDLESEX COUNTY, MASSACHUSETTS AND SUBMITS TO THE JURISDICTION THEREOF AND WAIVES THE RIGHT TO CHANGE VENUE. CUSTOMER FURTHER CONSENTS TO THE EXERCISE OF PERSONAL JURISDICTION BY ANY SUCH COURT WITH RESPECT TO ANY SUCH PROCEEDING.

Pricing Information; Availability Disclaimer

All pricing is subject to change. CORGITECH LLC reserves the right to make adjustments to pricing, products and service offerings for reasons including, but not limited to, changing market conditions, product discontinuation, product unavailability, manufacturer price changes and errors in advertisements. All orders are subject to product availability. Therefore, CORGITECH LLC cannot guarantee that it will be able to fulfill Customer's orders.

Limitation of Liability

NEITHER CORGITECH LLC NOR ITS AFFILIATES WILL BE LIABLE FOR LOST PROFITS, LOSS OF BUSINESS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY. NEITHER CORGITECH LLC NOR ITS AFFILIATES WILL BE LIABLE FOR PRODUCTS NOT BEING AVAILABLE FOR USE OR FOR LOST OR CORRUPTED DATA OR SOFTWARE OR THE PROVISION OF SERVICES BY THIRD PARTIES. CUSTOMER AGREES THAT FOR ANY LIABILITY RELATED TO THE PURCHASE OF PRODUCTS OR SERVICES PROVIDED DIRECTLY BY CORGITECH LLC OR ITS AFFILIATES, NEITHER CORGITECH LLC NOR ITS AFFILIATES ARE LIABLE OR RESPONSIBLE FOR ANY AMOUNT OF DAMAGES ABOVE THE DOLLAR AMOUNT PAID BY CUSTOMER FOR THE PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE CLAIM.

CORGITECH LLC will not be responsible for any delays in delivery which result from any circumstances beyond its control, including without limitation, product unavailability, carrier delays, delays due to fire, severe weather conditions, failure of power, labor problems, acts of war, terrorism, general insurrection, acts of God or acts of any government or agency.

Third Party Services

Customer acknowledges and agrees that, in some instances, CORGITECH LLC, and their affiliates are resellers of services and are not the provider of those services. In those cases, the third party service provider is the only party responsible for providing services to Customer. In those cases, Customer will look solely to the third party service provider for any loss, claims or damages arising from or relating to the purchase or provision of such services. Customer hereby releases CORGITECH LLC and their affiliates from any and all claims arising from or relating to the purchase or provision of any such services by third party service providers. Services may be subject to tax.

Orders; Payment Terms; Interest; Taxes

Orders are not binding upon CORGITECH LLC unless accepted by CORGITECH LLC and we reserve the right to cancel any order for any reason. Customer is responsible for, and will indemnify and hold CORGITECH LLC harmless from, any applicable sales, use or other taxes associated with the order. Customer must claim any exemption from tax at the time of purchase and provide the necessary supporting documentation. Any sales, use or other applicable tax is based on the location to which the order is shipped. In the event of a payment default, Customer will be responsible for all of CORGITECH LLC' costs of collection, including court costs, filing fees and attorney's fees.

Conditions of Sale and Payment Terms.

To purchase any goods and/or services on our Site, you must be at least eighteen (18) years of age or the applicable state age of majority or be the authorized representative of a corporation, limited liability company, partnership, or other legal entity. Prior to the purchase of any goods or services on our Site, you must provide us with a valid credit card number and associated payment information including all of the following: (i) your name as it appears on the card, (ii) your credit card number, (iii) the credit card type, (iv) the date of expiration and (v) any activation numbers or codes needed to charge your card. By submitting that information to us, you hereby agree that you authorize us to charge your card at our convenience but within thirty (30) days of credit card authorization. All sales of products and services are final, subject to the Return Policy defined more in these help pages.

 

CORGITECH PSA For USA Customers

If your package arrives damaged, do not sign for it. Simply tell your driver that you refuse it due to the condition of the packaging and sensitive contents within. Instruct anyone you may have accept a package on your behalf (Family/Friends/Roommates/Concierge/etc) as well, we only use trackable shipping methods so you’ll know the date the package is arriving. We will always replace (when stock permits), negotiate a substitution you approve of, or refund your purchase if damaged in transit. If we receive it and the contents are still pristine, we’ll offer to ship it to you again or refund you. If you do sign for a damaged package, that signature is your acceptance of the condition of the package and you assume custody of its contents. If you sign, we won’t be able to help you. Please, we know the pain of turning away something you’ve been trying to get for months on end, but delaying your pc build a week or so is much better than being stuck with a very expensive paperweight.

 

CORGITECH PSA For International Customers

When you choose your shipping method, we recommend insuring your shipment and using UPS, FedEx, or DHL (carrier service options my vary between locations). We are unable to accept returns for damaged items and insuring your purchase will give you the opportunity to be compensated if your package is lost or damaged in transit. If your package arrives damaged, immediately photograph each side of the box's exterior, the interior with and without the packing materials, and finally, the damaged products. Make sure the photo's are clear, high resolution, and well lit. We package your purchases with great care but due to the package changing custody between multiple parties -

Corgitech -> Carrier -> Export Customs -> Carrier -> Import Customs -> Carrier -> Customer

we urge you to spend a little more to protect your investment. If your package is lost, contact us immediately so that we may contact your chosen carrier to launch an investigation on your behalf, providing them with our export documents and your photographs. You'll be provided with your case number and will work with you to obtain compensation. We're unable to guarantee that the package will arrive in the same state as when we shipped it. Customs Authorities may open and inspect your purchase. While we will provide documents adhering to each country's regulations to minimize delays and tampering by Customs Officials, we ultimately have no control over the process. Make sure you provide accurate contact information. If Customs attempts to reach out to you and you fail to respond to their inquiries, you will be given the options to abandon the package or return to Corgitech. If you choose to return the package, all shipping costs and a restocking fee will be deducted from your refund. If you abandon the package you won't be eligible for a refund.
